TERMS & CONDITIONS — KEYSTONE LLC (CONCIERGERIE PANAMA)

1. Company identification

These Terms & Conditions ("Terms") govern the use of services offered by Keystone LLC, a limited liability company organized under the laws of the State of New Mexico, USA, whose registered agent is located at 8206 Louisiana Blvd NE, Ste A, Albuquerque, NM 87113, USA, and whose operational office is located in Panama (1A, Calle Juan XXIII, Edificio 6, Panama City), operating under the trade name "Keystone LATAM" / "Conciergerie Panama" (panama.premium.conciergerie@gmail.com).

By using our services or signing a quote/engagement letter, the Client fully accepts these Terms.

2. Description of services

Keystone LLC provides relocation advisory and concierge services for Panama, which may include, depending on the package purchased:

Immigration guidance and introduction to partner law firms (e.g. LEGALYS) for visa applications (Friendly Nations Visa or other);
Introductions to local and international banking partners for account opening;
Logistical assistance (temporary housing, administrative steps, local recommendations);
Other ad-hoc services agreed in writing (quote, email, or signed engagement).

Keystone LLC acts as an intermediary and advisor. Final decisions (visa issuance, bank account approval, lease approval, etc.) rest exclusively with third-party authorities and institutions (Panamanian government, banks, landlords), over which Keystone LLC has no decision-making authority.

3. Client obligations

The Client agrees to:

Provide accurate, complete and up-to-date information (civil status, criminal record, financial situation, etc.);
Submit requested documents within agreed deadlines;
Notify Keystone LLC of any change in circumstances that may affect the case.

Keystone LLC shall not be liable for delays or refusals resulting from inaccurate, incomplete, or late information provided by the Client.

4. Fees and payment

Fees are detailed in the quote or proposal provided to the Client prior to any service. Unless otherwise agreed in writing, payments are due per the schedule set out in the quote. Third-party fees (lawyers, notaries, banks, government fees) are separate from Keystone LLC's fees and remain the Client's responsibility unless stated otherwise.

5. Refunds

See the dedicated Refund Policy, which forms an integral part of these Terms.

6. Limitation of liability

Keystone LLC uses commercially reasonable efforts to assist the Client but does not guarantee:

The issuance of a visa or residency status;
The opening of a bank account by a third-party institution;
A specific processing time by third-party administrations or banks.

Keystone LLC's liability, if any, is limited to the amount of fees actually received for the relevant service.

7. Intellectual property

All content, methodologies, documents and materials provided by Keystone LLC remain its exclusive property and may not be reproduced or distributed without written authorization.

8. Confidentiality and personal data

The processing of personal data is governed by Keystone LLC's Privacy Policy.

9. Termination

Either party may terminate an ongoing engagement upon written notice, subject to applicable refund conditions (see Refund Policy) and payment for services already rendered.

10. Force majeure

Keystone LLC shall not be liable for any delay or failure to perform resulting from a force majeure event (natural disaster, government decision, pandemic, etc.).

11. Governing law and jurisdiction

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict-of-law principles. Any dispute shall be subject to the exclusive jurisdiction of the courts of New Mexico, subject to any mandatory consumer-protection rules applicable to the Client.

PRIVACY POLICY — KEYSTONE LLC (CONCIERGERIE PANAMA)

1. Data controller

Keystone LLC (registered agent: 8206 Louisiana Blvd NE, Ste A, Albuquerque, NM 87113, USA; operational office: 1A, Calle Juan XXIII, Edificio 6, Panama City), operating as "Keystone LATAM" / "Conciergerie Panama", is the data controller for personal data collected through its website, appointment forms (Calendly) and CRM.

2. Data collected

Depending on your interaction with our services, we collect:

Identification data: name, surname, nationality, contact details (email, phone);
Appointment data: via Calendly (date/time, reason for request);
Case-related data: family situation, professional/financial situation, documents required for visa or banking procedures, provided at your initiative and with your explicit consent;
Browsing data: technical cookies and, where applicable, analytics/marketing cookies (see Cookies section).

3. Purpose of processing

Your data is used to:

Respond to your requests and manage the client relationship (CRM);
Deliver advisory services and introductions to our partners (law firms, banks, real estate agencies);
Send you commercial information if you have consented;
Comply with our legal and regulatory obligations.

4. Data sharing

Your data may be shared with third-party partners strictly necessary to complete your case (e.g. partner law firm for your visa, bank for account opening). Sharing only occurs with your consent or as part of performing the engagement you entrust to us. We never sell your data to third parties for commercial purposes.

5. Retention period

Your data is kept for as long as necessary to perform the services, then archived for the period required by our legal/accounting obligations, before deletion or anonymization.

6. Your rights

7. Security

REFUND POLICY — KEYSTONE LLC (CONCIERGERIE PANAMA)

Fees paid to Keystone LLC are refundable only in the following two cases:

Service not performed: Keystone LLC has not carried out the agreed service (e.g. no introduction to partners made, case not processed);
Visa refused: the visa application filed as part of our support is denied by the competent Panamanian authorities.

In these cases, the refund applies to Keystone LLC's fees actually paid for the relevant service, excluding any fees already incurred with third parties (lawyers, notaries, government fees, bank fees), which are non-refundable once incurred.

Exclusions: no refund is due if the visa refusal or service failure results from a false statement, inaccurate or incomplete information provided by the Client, or the Client's failure to meet their obligations (deadlines, documents).

Procedure: any refund request must be sent in writing to panama.premium.conciergerie@gmail.com, together with supporting documentation. Once approved, the refund is processed within 10 days using the same payment method originally used, unless otherwise agreed.
